Learn About the Operation of the Corporate Governance Officer
The primary responsibilities of the Corporate Governance Officer include handling matters related to Board of Directors and Shareholders’ Meetings in accordance with the law, providing directors with the necessary information for business execution, gathering updates on regulations relevant to company operations to assist directors in legal compliance, and supporting directors in onboarding and ongoing training.
The following outlines the business execution for the year 2023.
.Notify Board members of the latest amendments to laws and regulations related to the company's
business operations and corporate governance on an ad hoc basis.
.Provide directors with necessary company information to ensure smooth communication and interaction
between directors and senior executives.
.Regularly arrange training courses for directors based on their educational and professional
backgrounds as well as updates to current laws and regulations.
.Evaluate and procure appropriate directors' and officers' liability insurance.
‧Draft meeting agendas and notify directors at least seven days prior to the meeting, providing relevant materials and topics. Reminders are issued for conflict-of-interest recusal if necessary. Meeting minutes are prepared and distributed within 20 days after each meeting. In 2023, a total of 4 Board of Directors meetings, 4 Audit Committee meetings, and 2 Compensation Committee meetings were held.
‧Assist and remind directors to comply with applicable regulations when conducting business or making formal Board resolutions.
‧Handle pre-registration of shareholders' meeting dates as required by law, and prepare meeting notices, agendas, minutes, and annual reports within statutory deadlines for reference by investors.
‧Conduct the 2023 internal performance evaluations for the Board of Directors and performance evaluations for functional committees. The evaluation results were reported to the most recent Board of Directors meeting in 2024.
